Terms of Service

These Terms of Service ("Terms") govern your use of Sprint Commander ("the App"), a Jira dashboard gadget available through the Atlassian Marketplace. By installing or using the App, you agree to these Terms.

1. Acceptance of Terms

By installing, accessing, or using Sprint Commander, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Sprint Commander is a Jira Cloud dashboard gadget that provides:

• Sprint capacity planning and tracking
• Visual workload distribution by team member
• Drag-and-drop issue management between sprints
• Velocity tracking and historical analysis
• Auto-leveling to redistribute work across sprints

3. License and Usage

3.1 License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the App in connection with your Jira Cloud instance.

3.2 License Tiers

• Free Trial: Full access to basic features for the trial period. Premium features (Auto-Level) are available for evaluation.
• Paid License: Full access to all features, including premium features.

3.3 Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the App
• Modify, adapt, or create derivative works based on the App
• Sublicense, sell, resell, or transfer the App to third parties
• Use the App for any unlawful purpose
• Attempt to circumvent license restrictions or access controls
• Use automated systems to abuse or overload the App

4. Atlassian Marketplace

The App is distributed through the Atlassian Marketplace. Your use is also subject to:

• Atlassian Marketplace Terms of Use
• Atlassian Cloud Terms of Service

In case of conflict between these Terms and Atlassian's terms, Atlassian's terms shall prevail with respect to your use of the Atlassian platform.

5. Fees and Payment

5.1 Pricing

Pricing for Sprint Commander is displayed on the Atlassian Marketplace listing. Fees are charged according to the pricing tier you select and the number of users in your Jira instance.

5.2 Free Trial

New installations receive a free trial period as specified on the Marketplace listing. No payment is required during the trial. At the end of the trial, you may purchase a license or the App will revert to limited functionality.

5.3 Billing

All billing is handled through Atlassian. Payment terms, refund policies, and billing cycles are governed by Atlassian's Marketplace policies.

6. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7. Intellectual Property

Sprint Commander, including its code, design, and documentation, is protected by copyright and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

You retain all rights to your Jira data. We claim no ownership over any data you access or manage through the App.

8. Disclaimer of Warranties

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• Results obtained from the App will be accurate or reliable
• Any errors in the App will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business, or goodwill
• Any damages exceeding the fees paid for the App in the 12 months preceding the claim

This limitation applies regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sprint Commander and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of a third party

11. Modifications to Service

We reserve the right to:

• Modify or discontinue features with reasonable notice
• Update the App to improve functionality or security
• Change pricing with notice through the Marketplace

We will make reasonable efforts to notify users of significant changes through the Marketplace listing or App interface.

12. Termination

13.1 By You

You may stop using the App at any time by uninstalling it from your Jira instance.

13.2 By Us

We may suspend or terminate your access if you violate these Terms or engage in conduct that harms the App or other users.

13.3 Effect of Termination

Upon termination, your license to use the App ends immediately. App configuration data stored in Forge will be deleted. Your Jira data is unaffected.

13. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sprint Commander regarding the App.

14.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

14.5 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes through the Marketplace listing or App interface. Your continued use of the App after changes constitutes acceptance of the updated Terms.
